## Restrictions

- Act only as a finder; do not negotiate, execute agreements, give warranties or otherwise bind Quartile.
- Use Quartile names, approved marks and promotional assets only as licensed for the agreement; other use needs prior written consent.
- You and your employees, contractors, agents and subcontractors must comply with applicable laws, rules and industry standards.
- Do not make unapproved statements about Quartile, services, prices, capabilities or terms, or overstate your relationship.
- During the agreement and for 12 months after it ends, do not directly or indirectly solicit or induce any then-current Quartile customer, including eligible referrals, to reduce, terminate or transfer business or buy competing services.
- During the agreement and for 12 months afterward, do not directly or indirectly recruit, solicit, hire or attempt to hire Quartile employees or contractors involved in the agreement without written consent; general public job solicitations that otherwise comply are excepted.
- Protect confidential information, use it only to perform the agreement, and do not disclose it without consent except as legally required; disclosed-to personnel must have equally protective written duties.
- Return or destroy confidential information when the agreement ends and certify destruction if requested.
- Do not assign, delegate or transfer agreement rights or duties without Quartile’s prior written consent.
- No self-referrals, including controlled or commonly controlled entities, affiliates, principals, officers, directors, employees or immediate family members; commissions may be withheld or recovered.
